Transactency Inc. (“Transactency,” “we,” “us,” or “our”) is a Delaware corporation that operates a legal contracting platform. This Privacy Policy explains how we collect, use, disclose, and protect your personal information when you use our website and services (collectively, the “Platform”).

2. Geographic Scope
The Platform is operated from, and intended for users located in, the United States. By using the Platform, you acknowledge and agree that your personal information will be collected, processed, and stored in the United States in accordance with this Privacy Policy and applicable U.S. federal and state law. We do not target the Platform to users located in the European Economic Area, the United Kingdom, Switzerland, or other jurisdictions outside the United States, and we do not represent that the Platform complies with the laws of any such jurisdiction. If you choose to access the Platform from outside the United States, you do so on your own initiative and at your own risk.
3. Information We Collect
3.1 Information You Provide
Account Information. When you create an account, we collect your name, email address, company name, and account credentials.
Payment Information. If you make purchases, we collect payment details through our payment processor. We do not store complete credit card numbers on our servers.
Contract Content. When you use the Platform, we process the contract data you create, including clause selections, defined terms, party information, and document content (collectively, “Contract Content”).
Communications. If you contact us for support or other inquiries, we collect the content of those communications and any information you choose to provide.
3.2 Information Collected Automatically
Usage Data. We collect information about how you interact with the Platform, including pages visited, features used, and actions taken.
Device and Technical Data. We collect IP addresses, browser type, operating system, device identifiers, and similar technical information.
Cookies and Similar Technologies. We use cookies and similar tracking technologies to operate and improve the Platform. See Section 8 for details.
4. How We Use Your Information
We use your personal information for the following purposes:
To Provide Our Services. Processing your account registration, enabling contract creation and management, and delivering the Platform’s core functionality.
To Process Payments. Facilitating transactions and managing billing.
To Communicate With You. Sending service-related notices, responding to inquiries, and providing customer support.
To Improve Our Platform. Analyzing usage patterns, troubleshooting issues, and developing new features.
To Generate Aggregate Statistics. We use de-identified and anonymized data (such as clause selection patterns and aggregated Contract Content) to produce industry statistics and insights and to improve Platform features and playbooks. Aggregated and anonymized data cannot reasonably be used to identify you or the parties to your contracts.
To Train and Improve Machine Learning Models. We may use anonymized and aggregated Contract Content, usage data, and user-submitted materials (such as custom addendum text) to train, evaluate, and improve machine learning and artificial intelligence models that power Platform features, including clause recommendations, defined-term suggestions, and playbook refinements. We do not use Contract Content in a manner that would identify you or the counterparties to your agreements. We do not sell Contract Content to third parties for use in training their models.
To Ensure Security. Detecting and preventing fraud, unauthorized access, and other harmful activities.
To Comply With Legal Obligations. Meeting applicable legal, regulatory, and compliance requirements, and responding to lawful requests from government authorities.
5. How We Share Your Information
We do not sell your personal information for monetary or other valuable consideration, and we have not done so in the preceding twelve (12) months. We do not share personal information for purposes of cross-context behavioral advertising. We share your information only in the following circumstances:
5.1 Service Providers
We share information with third-party vendors that perform services on our behalf and are contractually obligated to protect your data. These vendors include providers of cloud hosting and infrastructure, payment processing, analytics, customer support, authentication, email delivery, and error monitoring. A current list of material subprocessors is available on request to privacy@transactency.com.
5.2 Legal Requirements
We may disclose your information if required by law, regulation, legal process, or governmental request, or when we believe disclosure is necessary to protect our rights, your safety, or the safety of others.
5.3 Business Transfers
In the event of a merger, acquisition, financing, reorganization, or sale of assets, your information may be transferred as part of that transaction. We will notify you of any such change and the choices you may have.
5.4 Anonymized and Aggregated Data
We may share aggregated, de-identified data that cannot reasonably be used to identify you. This includes statistical information about contract clause usage and Platform trends.
6. Data Retention
Active Account Data. Retained while your account remains active.
Post-Closure Retention. After account closure, we retain personal data for up to three (3) years to address potential legal inquiries and contractual matters.
Anonymized Contract Metadata. De-identified data may be retained for up to seven (7) years for statistical, analytical, and model-improvement purposes.
Server Logs and Analytics. Retained for up to twenty-six (26) months.
7. Data Security and Breach Notification
We implement appropriate technical and organizational measures to protect your personal information against unauthorized access, alteration, disclosure, or destruction. These measures include encryption in transit and at rest, access controls, logging, and periodic security assessments.
While we strive to protect your information, no method of transmission over the Internet or electronic storage is completely secure. We cannot guarantee absolute security.
In the event of a data breach affecting your personal information, we will notify you and applicable regulatory authorities in accordance with applicable law.

We use cookies and similar technologies to:
Essential Cookies. Enable core Platform functionality, maintain your session, and remember your preferences.
Performance Cookies. Understand how visitors use the Platform to improve performance and user experience.
Analytics Cookies. Collect information about usage patterns through analytics providers.
Most browsers allow you to control cookies through their settings. Disabling certain cookies may limit Platform functionality. We honor browser-based Global Privacy Control (GPC) signals as opt-out preferences for residents of U.S. states whose laws recognize such signals.

9.1 Rights for All U.S. Users
Access. Request a copy of the personal information we hold about you.
Correction. Request correction of inaccurate or incomplete information.
Deletion. Request deletion of your personal information, subject to legal retention requirements.
Data Portability. Request your data in a structured, machine-readable format, where required by law.
Non-Discrimination. Exercise your rights without discriminatory treatment.
9.2 Rights for U.S. State Residents
If you are a resident of a U.S. state with a comprehensive consumer privacy law (including, as of the effective date, California, Colorado, Connecticut, Delaware, Florida, Indiana, Iowa, Kentucky, Maryland, Minnesota, Montana, Nebraska, New Hampshire, New Jersey, Oregon, Rhode Island, Tennessee, Texas, Utah, and Virginia), you may have the additional rights described in this Section 9.2, subject to the conditions and exceptions in your state’s law.
Right to Know. Request disclosure of the categories and specific pieces of personal information we have collected about you, the sources of that information, the purposes for collection, and the categories of third parties with whom we share it.
Right to Opt-Out of Sale or Sharing. We do not sell your personal information and do not share it for cross-context behavioral advertising. Where required by law, you may submit an opt-out request, including through GPC signals.
Right to Limit Sensitive Personal Information. Where your state law provides a right to limit the use or disclosure of sensitive personal information, we honor that right. We do not collect sensitive personal information for purposes other than those permitted without consent under applicable law.
Right to Appeal. Where required by law, you may appeal our decision regarding your privacy request by contacting privacy@transactency.com with the subject line “Privacy Appeal.”
Authorized Agents. You may designate an authorized agent to make a request on your behalf by providing written authorization. We may require verification of both your identity and the agent’s authority before fulfilling the request.
9.3 How to Exercise Your Rights
To exercise any of these rights, contact us at privacy@transactency.com or submit a request through the contact form on our website. We will respond to verified requests within the timeframes required by applicable law (generally within forty-five (45) days for California Consumer Privacy Act requests, with one extension as permitted).
10. Children’s Privacy
The Platform is intended for adults age eighteen (18) or older. We do not knowingly collect personal information from children under the age of thirteen (13). If we become aware that we have collected personal information from a child under thirteen (13), we will take steps to delete it promptly. 11. Changes to This Policy
We may update this Privacy Policy from time to time. When we make material changes, we will notify you by posting the updated policy on our website with a new effective date and, where appropriate, by email. Your continued use of the Platform after changes become effective constitutes acceptance of the revised policy.
